BYLAWS OF CEDAR MOUNTAIN NORDIC SKI CLUB

ARTICLE I: NAME

The name of this organization is the Cedar Mountain Nordic Ski Club.

ARTICLE II: PURPOSE

The purpose of the Cedar Mountain Nordic Ski Club (CMNSC) is to increase public awareness and enjoyment of Nordic skiing in what are some of the nation’s best snow conditions and outdoor recreation opportunities. We feel this can be done through educational offerings that we make available to Club members and the public on a nonprofit basis. Our efforts include, but are not limited to the following:

* Workshops conducted in cooperation with the Southern Utah University Outdoor Recreation Program. Our ongoing informal relationship with the Program provides a means of spreading the word about Nordic skiing to the University and public communities, as well as making instruction available to novice skiers.

* Trail maps, snow reports, and pictures of Club outings available on the Club website. These are free for anyone to enjoy and they are a source of valuable information to those who are not yet familiar with the many Nordic ski areas near Cedar City.

* Ongoing liaison and cooperation with city, state park, national park and national forest personnel in order to facilitate access to and maintenance of ski trails in areas under the control of these agencies.

* Organizing and sponsoring Nordic ski events, to help increase public awareness of such activities and to help improve the general health of participants through winter outdoor exercise.

With increased support from available sources, we hope to raise the healthy and rewarding sport of Nordic skiing to the level of popularity we feel it should enjoy here in Southwestern Utah.

ARTICLE III: MEMBERS AND DUES

Any adult person with an active interest in Nordic skiing shall be eligible for membership in the Club. Children of members with a family membership may participate in club activities, under parental supervision. Each new member shall complete a membership application and pay the annual membership fee. A member may be suspended for a period or expelled from membership for nonpayment of the annual fee. The annual membership fee shall be set on an annual basis by the officers.

ARTICLE IV: OFFICERS

The officers of the Club shall be a President, a Vice President, a Secretary and a Treasurer. The President shall preside at club meetings and have general oversight of club activities and business. The Vice President shall assist the President and substitute for the President as necessary. The Treasurer shall handle the Club’s funds and keep its financial records. The Secretary shall be responsible for taking minutes at the meetings, for publishing and distributing the newsletter, if there is one, for posting information regarding the Club, such as meetings, activities and projects, on the web page, and maintaining and updating the web page. The officers shall be chosen from the membership each year at the annual meeting. The officers may appoint other members to positions deemed appropriate, such as a ski scheduling committee, newsletter editor, etc.

ARTICLE V: MEETINGS

Membership meetings shall be held at least twice each ski season, at times determined by the officers. The first meeting of the season shall be known as the "annual meeting" and shall be for the purpose of receiving reports, collecting annual dues, electing new officers and conducting any other business that may arise. Other meetings may be held upon the call of the President. The members present at any called meeting shall constitute a quorum, providing there are at least four members present.

ARTICLE VI: FINANCIAL RESPONSIBILITY

All Club expenses, except for petty cash items, shall be paid by check signed by the Treasurer or other officer authorized to do so. Upon the request of any member in good standing, the Treasurer shall make the Club’s financial records available for inspection.

ARTICLE VII: MEMBERS’ RESPONSIBILITY

Club activities and trips are not led by professional guides and each person participating does so at his or her own risk. All members must sign the Club’s waiver form with the application for membership, and all other participants must sign a waiver form before each activity.

ARTICLE VIII: DISSOLUTION

In the event the Club should cease to function or is disbanded, any assets shall be sold. After the Club’s financial obligations are met, any remaining funds shall be donated to societies or organizations engaged in activities substantially similar to those of this Club.

ARTICLE IX: AMENDMENT

These Bylaws may be amended by a two-thirds vote of the members attending the meeting at any regularly scheduled meeting or after at least one week’s notice.
